NGEN Partners Confidentiality Policy

NGEN III L.P. (the "Fund") does not accept submissions that contain confidential or proprietary information, and neither the Fund nor any of its affiliates nor any other person shall have any obligation to maintain the confidentiality of any information contained in any submission. Any attempt to create any such obligation by including a confidentiality provision in your submission shall be without effect and any such confidentiality provision is hereby expressly disclaimed.

To ensure that there is no misunderstanding, you should have no expectation of confidentiality with respect to any information submitted to the Fund in your initial submission or in any subsequent submission.

Please note that while the Fund will limit access to the information provided to it, such information may be disclosed to limited partners of the Fund or to others as part of the Fund's evaluation of your submission. Some of the persons to whom such information is disclosed may be developing products or technologies that relate to or are competitive with the products or technologies disclosed in your submission. Such persons are under no legal obligation to treat such information as confidential and shall not be limited in their right to use any information contained in any submission for any purpose.

Notwithstanding the foregoing, as the review of your submission progresses, the Fund may determine, in its sole and absolute discretion, that it is necessary to obtain from you confidential or proprietary information related to your submission that you are unwilling to disclose unless such disclosure is governed by a confidentiality agreement. Under such circumstances, the Fund will consider whether or not to negotiate with you an appropriate confidentiality agreement as a condition to the disclosure of such information by you. To the extent any such confidentiality agreement is entered into, the express terms thereof shall govern the obligations of the Fund with respect to such confidential information.
